Based in Ft. Lauderdale Florida, the Company was established in 2001 when Alan Smith returned to Florida after selling his highly successful California M&A firm, and together with Ken Stebbins they formed the Carlyle Financial Group (Cfg).

Alan Smith has been involved with Mergers and Acquisitions since the 1970’s. Ken Stebbins has operating Business Brokerage firms in South Florida since 1976. Cfg was formed to provide mid-market business owners with decades of knowledge about the M & A process and the experience of more than one thousand successful “hands on deal making” transactions. For business owners who wish to sell their company, this knowledge and experience translates to maximizing their businesses’ value, reducing the risk of a failed transaction and speeding along the M & A closing process.

Cfg handles the sale of a company in two phases. The first phase, the Evaluation and Decision Making phase, helps the business owner clarify their personal goals, provides a professional opinion of the company’s value, examines the company’s attractiveness to potential buyers, identifies the best buyer groups, develops alternative deal structures and determines the best time to market the Company. This information is summarized in Cfg’s Opinion of Value and Marketability Analysis report which is presented to the business owner. With this information in hand, the business owner is able to make informed decisions about offering the company for sale.

During the Marketing and Sales phase (phase two) a Confidential Business Information Summary (CBIS) and other marketing materials to be utilized during the selling process are prepared by Cfg. The CBIS documents the Company’s history (explains the past) and addresses opportunities for sales and profit growth. Financial statements are recast and a 3 - 5 year sales forecast is prepared. This forecast details future sales and earnings potential along with the strategies for accomplishing them. The CBIS also succinctly summarizes the Company’s history, products, services, status of employees, employee benefits, facilities, competition, industry, market, sales and marketing among other information.

Investors, strategic buyers and high net worth individuals are selected from over 25 data providers and industry sources and combines them with CFG’s proprietary investor/buyer database to form the list of US and International prospects to be contacted by Cfg. Prospects are reached through a variety of ways including telephone, direct mail, email, faxes, trade shows and advertising.

Site visits are arranged and conducted by seasoned Cfg dealmakers who guide the selling process through the final steps of negotiations, letters of intent, definitive agreement, diligence and closing.
